MATTER & SPACE PTE LTD

Design Project Management & Renovation Services

These Terms & Conditions explain the general basis on which Matter & Space Pte Ltd (“Matter & Space”, “we”, “us” or “our”) provides interior design, project management, renovation and related services. They are intended as the public-facing website terms for our services and should be read together with the Design Project Management & Renovation Contract Agreement, quotation, agreed scope of works, approved plans and drawings, material schedules, product specifications, Variation Orders and any other documents expressly incorporated into a project agreement.

Contract priority: These website terms provide general information. For an individual renovation project, the signed project contract and its Contract Documents govern. Where there is an inconsistency, the order of precedence stated in the signed contract applies.

1. Our Services

Matter & Space provides design, project management, renovation and related works as expressly agreed for each project. The exact scope, specifications, materials, inclusions and exclusions are set out in the applicable Contract Documents.

Anything not expressly included in the agreed scope is excluded from the Contract Sum unless subsequently approved as a Variation.

2. Contract Documents & Written Agreements

Each renovation project is governed by the documents expressly incorporated into the agreement. These may include the signed Design Project Management & Renovation Contract Agreement, quotation or contract proposal, agreed scope of works, approved plans and drawings, specifications, material schedules, product specifications and approved Variation Orders.

Discounts, free-of-charge items, promises, changes or other undertakings made by a designer, project manager, salesperson, subcontractor or other person are binding only when recorded in writing and accepted by an authorised representative of Matter & Space.

Where project documents conflict, the signed project contract determines the applicable order of precedence. Matter & Space’s standard contract currently gives priority to a subsequently signed Variation Order, followed by the Agreement, signed quotation/agreed scope, approved drawings/specifications and other supporting documents.

3. Site Measurement & Existing Conditions

The Client must provide reasonable access for site inspection and measurement before commencement. Dimensions shown on drawings remain subject to verification against actual site conditions.

Renovation work may reveal concealed or pre-existing conditions that could not reasonably have been identified during an ordinary pre-contract inspection. Examples include concealed pipes or wiring, structural conditions, uneven walls or floors, water seepage, waterproofing defects, undocumented services, existing building defects and defects caused by previous contractors or owners.

Where an unforeseen condition requires additional work, materials, professional services or time, we will notify the Client and the additional requirement may be treated as a Variation.

4. Design, Drawings & Client Approval

We prepare the agreed design drawings and plans having regard to the complexity of the project. The Client is responsible for reviewing and approving drawings, specifications, finishes, colours, materials and selections within the project schedule.

Drawings communicate design intent and may require reasonable construction adjustments to accommodate actual site conditions, construction tolerances and coordination between trades.

Minor technical adjustments that are reasonably necessary for construction, comply with applicable requirements, do not materially change the agreed design intent and do not materially increase the Contract Sum may be made without a separate Variation Order.

5. Client Responsibilities

The Client must provide accurate information, reasonable site access, timely approvals and decisions, and make selections within the agreed programme. The Premises should be reasonably clear of personal belongings and obstructions before affected works begin.

The Client must obtain permissions expressly allocated to the Client, comply with reasonable site-safety requirements, disclose known defects or conditions affecting the Premises, make payments when due and promptly notify Matter & Space of anything that may affect the Works.

The Client should not directly instruct Matter & Space-appointed subcontractors in a way that changes the Works without our approval.

6. Variations & Additional Works

A Variation includes an addition, omission, substitution, alteration or other change to the Works, materials, dimensions, design, specifications, sequence or construction method.

A Variation may change the Contract Sum, completion date, work sequence or specifications. Where reasonably practicable, we will provide the estimated additional cost before the Variation proceeds.

The Client should approve a Variation Order before additional work begins. Written instructions or approvals given by email or an agreed electronic messaging platform may also evidence approval. Urgent work reasonably required to protect the Premises, persons or completed Works may be documented formally after it is carried out.

Additional work may include hacking, disposal, electrical or plumbing works, concealed-condition rectification, dimensional changes, upgraded materials, authority requirements, professional fees, reinstatement, redesign, protection works or work required because of another contractor appointed by the Client.

7. Authorities, Approvals & Compliance

All Works are subject to applicable requirements of HDB, BCA, URA, MCST, building management and other relevant authorities.

Matter & Space will reasonably assist with applications and submissions that fall within the agreed scope. Unless expressly included, fees charged by authorities, consultants, engineers, surveyors, architects, testing agencies or other professional parties are payable separately by the Client.

We cannot guarantee that every Client-requested design or work will be approved by an authority. Where a proposal is restricted or rejected, we may amend the Works to comply and, where practicable, propose an alternative solution. Additional compliance-related work or professional services outside the original scope may be chargeable.

8. Project Programme & Completion Time

We will provide a projected programme where reasonably practicable. The programme is subject to reasonable extensions for circumstances outside Matter & Space’s reasonable control.

Examples include Client-requested Variations, delayed approvals or selections, late payment, lack of access, authority or building-management requirements, material shortages, supplier delays, third-party works, concealed site conditions, unsafe site conditions, utility interruption and force majeure events.

Where a delay caused by the Client results in material additional costs, reasonable additional costs may be recoverable under the project contract.

9. Force Majeure

Neither Matter & Space nor the Client is responsible for failure or delay caused by circumstances beyond reasonable control. These may include government restrictions, authority action, fire, flood, epidemic, severe weather, industrial action, material shortages, supplier disruption, utility failure or building-management restrictions.

The affected party should notify the other within a reasonable period. The project period may be extended for the time reasonably affected by the event. If performance becomes commercially impracticable for an extended period, the affected portion of the agreement may be addressed in accordance with the signed contract.

10. Contract Sum & Pricing

The Contract Sum for each project is stated in the signed project agreement or quotation and is subject to approved Variations and other amounts properly chargeable under the Contract Documents.

The Contract Sum excludes items expressly identified as exclusions and subsequent Variations. Unless otherwise stated, pricing is based on the prices and specifications applicable at the date of the agreement.

If a Client-requested postponement or Client-caused delay results in material price increases, storage, re-procurement or other reasonable additional costs, those costs may be chargeable under the contract.

11. Payment Schedule

Unless a project expressly states otherwise, Matter & Space’s standard contract uses the following progressive payment structure:

Stage 1 – Upon signing / confirmation: 10%
Stage 2 – Upon commencement of hacking works: 50%
Stage 3 – Upon commencement of carpentry measurement / production stage: 35%
Stage 4 – Upon handover: 5%

Variation Orders and approved additional charges are payable according to the relevant invoice or Variation Order. Payments must be made to Matter & Space’s officially designated corporate bank account or other officially designated payment method.

12. Late Payment & Suspension

If a payment remains unpaid after its due date, Matter & Space may issue written notice requiring payment. If the payment remains outstanding after the stated notice period, affected Works may be suspended.

Where suspension results from Client non-payment, the Client may be responsible for reasonable additional costs such as demobilisation, remobilisation, storage, material protection, subcontractor rebooking, transportation, additional labour and documented material price increases.

Continued material payment default may result in termination in accordance with the signed contract.

13. Materials & Procurement

Materials may be procured based on the approved specifications. If a specified product becomes unavailable, discontinued or commercially impracticable to obtain, Matter & Space may propose a reasonably equivalent alternative.

Client approval will be sought where an alternative materially differs in appearance, performance or specification.

Natural and manufactured materials may contain reasonable variations in colour, grain, texture, pattern or finish. Such inherent characteristics do not automatically constitute defects.

14. Manufacturer & Supplier Warranties

Manufacturer or supplier warranties apply where provided for the relevant product, appliance, hardware, fitting, accessory or component.

Where a defect originates from a manufacturer or supplier, Matter & Space’s responsibility is subject to the remedies reasonably available from that manufacturer or supplier. We will reasonably assist the Client in pursuing the applicable remedy.

15. Subcontractors & Client-Appointed Contractors

Matter & Space may appoint qualified subcontractors to perform portions of the Works and will use reasonable care in their selection and coordination.

The Client must not directly vary the work of a Matter & Space-appointed subcontractor without our approval.

Where the Client independently appoints another contractor, supplier, mover or service provider, Matter & Space is not responsible for that party’s acts, omissions, delays or damage. Where defective work or damage is caused by our appointed subcontractor, we will use reasonable efforts to arrange appropriate rectification in accordance with the applicable warranty and contract.

16. Standard of Work & Construction Tolerances

Matter & Space will perform the Works with reasonable skill and care and in accordance with generally accepted residential renovation practices applicable to the Works.

Reasonable construction tolerances apply having regard to the materials, site conditions and nature of renovation work. Minor variations that do not materially affect functionality or the agreed design intent do not automatically constitute defective workmanship.

17. Site Access, Safety & Personal Belongings

The Client must provide reasonable access during agreed working hours and comply with applicable building-management requirements.

Valuable, fragile and personal items should be removed or adequately protected before Works begin. Matter & Space will take reasonable care to protect the Premises and remove construction debris generated by our Works.

We are not responsible for loss or damage to belongings left in areas affected by the Works except to the extent caused by our negligence or wilful misconduct.

18. Inspection, Completion & Handover

Upon substantial completion, Matter & Space will arrange a pre-handover inspection with the Client where reasonably practicable. The parties may record a defects or rectification list.

Completion means that the Premises can reasonably be used for their intended residential purpose, subject to minor outstanding rectification items. Minor outstanding items do not automatically prevent Completion or Handover.

After Handover, the Client is responsible for taking reasonable care of the completed Works and following relevant maintenance instructions.

19. Workmanship Warranty – 60 Months

Matter & Space provides a sixty (60) month warranty from the date of Handover for defects in workmanship attributable directly to our Works, unless the Contract Documents expressly state otherwise.

Where a genuine covered workmanship defect is established, Matter & Space may repair, rectify or replace the affected workmanship, subject to the applicable warranty terms.

20. Hardware, Fittings & Components – 24 Months

Hardware, fittings, accessories, mechanical components and other proprietary products supplied and installed by Matter & Space are covered for twenty-four (24) months from Handover unless a different warranty period is expressly stated by Matter & Space, the manufacturer or supplier.

Manufacturer or supplier warranty terms continue to apply where provided.

21. Service & Labour Coverage – First 12 Months

During the first twelve (12) months from Handover, Matter & Space bears reasonable service and labour charges for attending to and assessing reported warranty-related issues, subject to the contract’s terms and exclusions.

After the first twelve months, service, inspection, call-out, transportation, troubleshooting, dismantling, reinstallation and labour charges are payable by the Client at the prevailing service rates, even where the relevant workmanship or hardware remains within its longer warranty period.

22. Warranty Exclusions

The warranty does not cover normal wear and tear; misuse or improper use; negligence or inadequate maintenance; damage caused by occupants, visitors or third parties; unauthorised repairs or alterations; Client-supplied products or materials; manufacturer or supplier defects governed by separate warranties; natural ageing or material characteristics; unrelated water leakage, seepage, condensation or moisture; structural movement or building-related conditions outside our scope; pest or environmental damage; or damage after Handover that is not attributable to Matter & Space. Other exclusions expressly stated in the Contract Documents also apply, subject to applicable law.

23. Reporting Warranty Issues

The Client should notify Matter & Space of an alleged defect as soon as reasonably practicable after discovering it and allow us a reasonable opportunity to inspect before engaging another contractor to repair, modify, dismantle or replace the affected Works.

If another contractor is engaged before Matter & Space has a reasonable opportunity to inspect and rectify, Matter & Space is not responsible for resulting costs except where otherwise required by law.

24. Client Cancellation

Any cooling-off period applies only where it is expressly stated in the Contract Documents.

After any agreed cooling-off period, cancellation by the Client without Matter & Space default is treated according to the termination provisions of the signed contract. Amounts payable may include the value of completed Works, materials purchased or irrevocably committed, approved Variations, subcontractor cancellation or demobilisation costs, reasonable administrative/project costs and other reasonable cancellation costs.

Any expressly agreed cancellation charge is subject to applicable law.

25. Termination by Matter & Space

Matter & Space may terminate the project by written notice in circumstances stated in the contract, including material non-payment, repeated obstruction of performance, an unremedied material breach, unsafe or inaccessible Premises, refusal of approvals that prevents the contracted Works from reasonably proceeding, insolvency or circumstances that make continued performance commercially impracticable.

Upon termination, amounts properly due for completed Works, committed materials, approved Variations and reasonable termination costs remain payable in accordance with the contract.

26. Termination by the Client for Contractor Default

The Client may terminate the agreement where Matter & Space commits a material breach and fails to remedy that breach within a reasonable period after receiving written notice specifying the breach.

Where termination is properly exercised, the Client remains responsible for properly completed and accepted Works, subject to lawful rights and remedies.

27. Limitation of Liability

To the fullest extent permitted by law, Matter & Space is not liable for indirect, consequential or special loss, loss of profit, rental income, business opportunity, loss of use or other economic loss arising from the Works.

Nothing excludes or restricts liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot lawfully be excluded or restricted.

Subject to the signed contract and applicable law, Matter & Space’s aggregate liability arising from a project is generally limited to the Contract Sum unless the parties expressly agree otherwise in writing.

28. Client Indemnity

Under the project contract, the Client may be responsible for reasonable losses, costs and expenses arising from the Client’s material breach, inaccurate information, unauthorised instructions, interference with the Works, damage caused by Client-appointed contractors, failure to obtain permissions allocated to the Client, or misuse or unauthorised alteration of the Works.

This does not apply to the extent the relevant loss was caused by Matter & Space’s negligence, wilful misconduct or breach of contract.

29. Insurance

Matter & Space maintains insurance required by law or reasonably maintained in the ordinary course of business.

The Client remains responsible for insurance relating to personal belongings and insurance ordinarily maintained by a property owner.

30. Intellectual Property & Use of Designs

Matter & Space retains copyright and intellectual property rights in its designs, drawings, specifications, concepts, layouts and other design materials, except for third-party-owned materials.

After full payment of all sums due, the Client receives a non-exclusive right to use the final design materials solely for the contracted Premises. The designs may not be commercially reproduced, resold or reused for another property without written consent.

31. Notices & Electronic Communications

Formal notices may be given in writing by email, registered post, hand delivery or another agreed electronic communication method.

Routine project communications, selections, approvals and instructions may be exchanged through agreed electronic messaging platforms. Electronic communications may serve as evidence of instructions, approvals and Variations where the sender and content can reasonably be identified.

32. Website Information

Photographs, 3D renders, project images, articles, descriptions, material images and other website content are provided for general information, inspiration and illustration.

Website content does not replace the signed project documents and does not form part of a specific project’s scope or specification unless expressly incorporated in writing.

33. No Waiver

If either party does not immediately enforce a contractual right, this does not mean that right has been waived. A waiver must be given in writing to be effective.

34. Entire Agreement

The signed project agreement and its Contract Documents constitute the entire agreement concerning the Works.

Oral representations do not vary the agreement unless confirmed in writing by an authorised representative. Nothing in this provision excludes liability for fraudulent misrepresentation or any other liability that cannot lawfully be excluded.

35. Severability

If any provision is found to be invalid, illegal or unenforceable, it will be modified to the minimum extent legally permissible where appropriate, and the remaining provisions will continue in effect.

36. Governing Law & Disputes

All Matter & Space project agreements are governed by the laws of Singapore.

The parties should first attempt in good faith to resolve disputes through discussion between authorised representatives. Where appropriate, mediation may be considered before court proceedings.

The courts of Singapore have jurisdiction, subject to any mandatory dispute-resolution mechanism applicable by law. Either party may take urgent legal action where necessary to protect its rights.

37. Confirmation Before Project Commencement

Before signing, Clients should ensure that all agreed inclusions, exclusions, discounts and free-of-charge items are recorded in writing and that the applicable drawings, material selections, payment schedule and scope of work are understood.

Clients should also understand that site conditions may require reasonable construction adjustments and that approved Variations may affect both cost and completion time.

38. Privacy & Personal Data

Personal data provided through website enquiries, quotations and renovation projects should be handled in accordance with Matter & Space’s separate Privacy Policy and applicable Singapore data-protection requirements.

Project-specific identification and contact information should be collected and used only for appropriate business, contractual, regulatory and project-administration purposes.

39. Relationship Between These Website Terms & Project Contract

These website Terms & Conditions summarise Matter & Space’s general commercial and project-management approach. They are not intended to replace the detailed Design Project Management & Renovation Contract Agreement signed for an individual project.

If there is any inconsistency, the signed Contract Documents for the relevant project take precedence according to the contractual order of priority.
